By downloading or using Franchwell (the "App"), you agree to these Terms of Service. If you do not agree, do not use the App. The App is published by an independent iOS developer (Apple Developer Team ID ZM8LF8494F); "we," "us," and "our" refer to that developer.
Franchwell is a personal record-keeping and reference tool for U.S. franchisees. You enter information about your own franchise relationship and the dispute you are documenting. The App organizes that information: it tracks the gap between what your franchisor promised and what was delivered across the Franchise Disclosure Document categories, logs disputes (breach notices, fee and advertising-fund disputes, territory encroachment, renewal and transfer denials) with their cure-period deadlines, logs your communications with the franchisor, lets you attach photos, references publicly available federal and state franchise law, optionally adds deadlines to your iPhone Calendar and sends local reminders, and generates a dispute PDF for your own use.
The App is free to download and use, with these limits: one franchise relationship; an FDD Gap Tracker preview of up to three text entries; up to ten dispute entries (each with a cure-deadline date and a single 30-day reminder); up to ten communication entries; and the full FTC Franchise Rule and state franchise-law reference. App Lock (Face ID) is included free for every user.
Pro features unlock when you start a Pro subscription. Two products are offered:
Both products unlock the identical Pro feature set. Prices shown are in U.S. dollars; Apple displays the equivalent local price at purchase time.
Each subscription automatically renews until canceled. Renewal is charged within 24 hours before the end of the current period unless auto-renewal is turned off at least 24 hours before that end. Payment is charged to your Apple ID. You can manage or cancel your subscription in Settings > [your name] > Subscriptions on your iOS device. We do not offer refunds for the unused portion of an active period; refund eligibility is determined solely by Apple under its published policies.
If you start the 7-day free trial on Pro Annual and cancel during the trial, you keep Pro access through the end of the trial and are not charged. If you do not cancel, the subscription begins at the end of the trial at the published price. Any unused portion of the trial is forfeited when a paid subscription begins.
Pro provides the following features. The behavior described here is binding on us — if a future App update materially changes any of these descriptions, we will revise this section.
App Lock is a free feature that uses Apple's LocalAuthentication framework (Face ID, Touch ID, or device passcode) to gate access to the App. Biometric data never leaves Apple's Secure Enclave; the App receives only a success or failure result. App Lock can be turned on or off in Settings > Privacy at any time.
The App is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, or non-infringement. To the maximum extent permitted by law, our aggregate liability arising out of or relating to the App is limited to the amount you paid us, through Apple, in the twelve months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost data, missed cure-period or renewal deadlines, lost franchise rights, an unfavorable arbitration or litigation outcome, or any business loss. Reference content and the records and PDFs you create are tools for your use; we do not guarantee that any franchisor, arbitrator, or court will accept or be bound by them.
Your use of the App is also governed by Apple's standard End User License Agreement for licensed applications, available at https://www.apple.com/legal/internet-services/itunes/dev/stdeula/. If these Terms conflict with the Apple EULA, these Terms govern as between you and us; the Apple EULA governs as between you and Apple.
All franchisor, brand, organization, and agency names that may appear in the App or in this document — including any franchise brand, the Federal Trade Commission, the International Franchise Association, the American Association of Franchisees and Dealers, and state franchise regulators — belong to their respective holders. Franchwell is not affiliated with, endorsed by, or connected to any of them, and names are used only for factual reference.
We may update these Terms from time to time. Material changes will be surfaced in the App on next launch. Continued use of the App after a change constitutes acceptance.
These Terms are governed by the laws of the United States and the State of California, without regard to conflict-of-law principles. Disputes will be resolved in courts located in California, except that either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual-property rights.
