LienClock Terms of Service

1. Acceptance

By downloading or using LienClock (the "App"), you agree to these Terms of Service. If you do not agree, do not use the App. The App is published by Flint Software, an independent iOS developer (Apple Developer Team ID ZM8LF8494F); references to "we," "us," and "our" mean that developer.

2. What LienClock is — and what it is not

LienClock is a deterministic mechanics lien deadline calculator for U.S. construction contractors, subcontractors, material suppliers, and equipment lessors. You enter a state, a role, a project type, and a last work date; the App computes the three deadlines that matter under U.S. mechanics lien law (Preliminary Notice, Mechanics Lien Filing, and — for public projects — Bond Claim Notice) and writes them, on your tap, into your iPhone Calendar via Apple's EventKit. The App also schedules local notifications via Apple's UNUserNotificationCenter and surfaces a countdown via Apple's WidgetKit on the Lock Screen and Home Screen.

LienClock is not a construction attorney, a paralegal, a lien filing service, a legal advice service, a generic AI legal tool, a construction project management platform, or a payment management product. The App does not recommend specific lien filing strategies, draft actual mechanics lien claim forms, compute the dollar amount of your lien claim, predict whether your lien claim will succeed in court, recommend specific construction attorneys, or guarantee the accuracy of any deadline for your specific facts. Statute interpretation can vary case-by-case. For lien filing decisions, lien claim strategy, or any legal interpretation, consult a licensed construction attorney in your state. Your state bar association's lawyer referral service is a starting point; many state bars list construction-law specialty attorneys.

3. Subscriptions and the Pro tier

The App is free to download and use, with the following limits in version 1.0:

Pro features unlock when you start a Pro subscription or complete the Lifetime purchase. Two products are offered:

Both products unlock the identical Pro feature set. There is no monthly subscription — project cycles span months to years, and an annual cadence matches how mechanics lien work is actually scheduled. Prices shown are USD; Apple displays the equivalent local price at purchase time.

3.3 Auto-renewal and billing (Annual only)

The Annual subscription automatically renews until canceled. Renewal is charged within 24 hours before the end of the current period unless auto-renewal is turned off at least 24 hours before that end. Payment is charged to your Apple ID. You can manage and cancel your subscription in Settings > [your name] > Subscriptions on your iOS device. Refunds for the unused portion of an active period are not offered by LienClock; refund eligibility is determined solely by Apple under its published policies. The Lifetime purchase is a single charge with no recurring billing.

3.4 Free trial forfeiture

If you start the 14-day free trial and cancel during the trial, you keep Pro access through the end of the trial and are not charged. If you do not cancel, your subscription begins at the end of the trial at the published price.

Pro provides the following features. The behavior described here is binding on us — if a future App update materially changes any of these descriptions, we will revise this section.

6. Disclaimers and limitation of liability

The App is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, or non-infringement. To the maximum extent permitted by law, our aggregate liability arising out of or relating to the App is limited to the amount you paid us, through Apple, for the App in the twelve months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost data, missed mechanics lien deadlines, lost lien rights, denied bond claims, lost payment recoveries, or any business outcome. Reference content and deadline calculations are tools for your use; we do not guarantee that any state court, county recorder, federal contracting office, or surety will accept or be bound by them.

7. Apple End User License Agreement

Your use of the App is also governed by Apple's standard End User License Agreement (EULA) for licensed applications, available at https://www.apple.com/legal/internet-services/itunes/dev/stdeula/. In the event of a conflict between these Terms and the Apple EULA, these Terms govern as between you and us; the Apple EULA governs as between you and Apple.

8. Trademarks

All product, organization, agency, and statute names referenced in the App or in this document — including but not limited to the Federal Miller Act (40 U.S.C. §§ 3131-3134), the various state mechanics lien statutes, Apple, EventKit, WidgetKit, StoreKit, Levelset, Procore, SunRay, LienDeadline, PreLien2Lien, Tradition Software, Lienguard, the National Association of Credit Management (NACM), the American Subcontractors Association (ASA), and the Associated General Contractors of America (AGC) — belong to their respective holders. LienClock is not affiliated with, endorsed by, or connected to any listed entity.

9. Changes to these terms

We may update these Terms from time to time. Material changes will be surfaced in the App on next launch. Continued use of the App after a change constitutes acceptance.

10. Governing law

These Terms are governed by the laws of the United States and the State of California, without regard to conflict-of-law principles. Disputes will be resolved in courts located in California, except that either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property rights.
